Terms and Conditions

These Terms and Conditions (“Terms”) apply to all consulting services (“Services”) provided by Manufacturing Advantage LLC (“Consultant”) to the client identified on the attached proposal or invoice (“Client”). By accepting Services, Client agrees to these Terms.

1. Services

Consultant will provide Services as described in the attached proposal, project outline, or invoice. Consultant will determine the method and means of providing the Services.

2. Payment

Client agrees to pay the fees stated on the invoice or proposal. Payment is due within thirty (30) days unless otherwise agreed in writing. Late payments may accrue interest at 1.5% per month (or the maximum allowed by Missouri law). Client is responsible for reasonable collection costs, including attorney fees.

3. Independent Contractor

Consultant is an independent contractor, not an employee or agent of Client. Consultant is solely responsible for taxes and withholdings.

4. Confidentiality

Consultant will keep Client’s confidential information private and use it only to perform Services. This obligation does not apply to information that is public, already known, or independently developed.

5. Work Product

Unless otherwise agreed, all reports, recommendations, or deliverables created by Consultant remain Consultant’s property. Client receives a non-exclusive license to use them for internal business purposes.

6. Indemnification

Client shall defend, indemnify, and hold harmless Consultant from any claims, losses, or expenses (including attorney fees) arising out of:

(a) Client’s use or reliance on the Services or deliverables;

(b) Client’s acts, omissions, products, or services; or

(c) any third-party claims related to Client’s business.

This does not apply to claims resulting solely from Consultant’s gross negligence or willful misconduct.

7. Limitation of Liability

Consultant’s total liability under these Terms shall not exceed the total fees paid by Client for the Services at issue. Consultant shall not be liable for any indirect, incidental, or consequential damages.

8. Governing Law

These Terms shall be governed by the laws of the State of Missouri. Any disputes shall be resolved in Missouri state or federal courts, and the Parties consent to such jurisdiction.

Acceptance: Payment of this invoice or engagement of Services constitutes acceptance of these Terms and Conditions.
